Please read these Terms carefully. By accessing or using the Website, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. 2. Relationship to Flow HQ’s Services

Flow HQ provides managed customer-experience (CX) and AI operations services to business customers. These Terms govern the Website only. Any paid services Flow HQ provides to a customer are governed by a separate written agreement, such as a Master Services Agreement, Statement of Work, or Order Form (a “Services Agreement”). In the event of a conflict between these Terms and a signed Services Agreement regarding the paid services, the Services Agreement controls for those services.

3. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Website. By using the Website, you represent and warrant that you meet this requirement and that your use complies with all applicable laws and regulations.

4. Changes to the Website and to These Terms

When we do, we will update the “Last updated” date above and post the revised Terms on the Website. You agree that the exclusive venue for any dispute will be the state and federal courts located in Alameda County, California, and you consent to personal jurisdiction there.

14. Termination

We may suspend or terminate your access to the Website at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the rights granted to you will cease. The provisions that by their nature should survive termination, including Sections 6, 7, 10, 11, 12, 13, and 15, will survive.

• Entire agreement. These Terms, together with the Privacy Policy and any applicable Services Agreement, constitute the entire agreement between you and Flow HQ regarding the Website.

• Severability. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.

• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

• Assignment. You may not assign these Terms without our prior written consent. We may assign them freely.

• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.

• Electronic communications. You consent to receive communications from us electronically, and agree that electronic communications satisfy any legal requirement that such communications be in writing.
